BSynth (the "Software") is made by Slap Is Dead ("we", "us", "our"). This End User License Agreement (the "Agreement") is between you and us.
BY INSTALLING, ACTIVATING, COPYING OR USING THE SOFTWARE YOU ACCEPT THIS AGREEMENT. IF YOU DO NOT ACCEPT IT, DO NOT INSTALL, ACTIVATE OR USE THE SOFTWARE.
1. THE SOFTWARE
The Software includes the BSynth plug-ins (Audio Unit and VST3), the standalone application, the factory presets, the preset packs published on slapisdead.com, any updates, and the related documentation, artwork and installers.
2. LICENSE
The Software is free of charge. Subject to this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on computers that you own or control, for your personal and commercial music production, recording and performance.
The Software is licensed, not sold. We reserve all rights not expressly granted in this Agreement.
3. YOUR MUSIC AND THE PRESETS
The audio that you create with the Software is yours. You owe us no royalties and no credit for it.
You may use the presets in your music. You may not sell, share or distribute the presets, or any modified version of them, as presets, preset packs, sound libraries or similar products.
4. RESTRICTIONS
Except as expressly permitted by this Agreement or by mandatory law, you may not, and may not allow anyone else to:
- (a) copy the Software, except to install it on your computers and to keep one backup copy of the installers;
- (b) distribute, share, publish, upload, mirror, rent, lease, lend, sell, sublicense or otherwise make the Software or its installers available to others: the official source of the Software is slapisdead.com;
- (c) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software;
- (d) modify, translate, adapt or create derivative works of the Software;
- (e) remove, bypass, disable or interfere with the trial, the activation or any other technical protection of the Software, or use activation codes or documents obtained for another computer;
- (f) remove or alter any copyright, trademark or other notice in the Software;
- (g) use the Software, its presets or its sound to create a competing product or service.
5. TRIAL AND ACTIVATION
After installation the Software works for a trial period of 14 days. After that, the Software requires a free activation, made on slapisdead.com. Each activation is for one computer. During activation the Software and the website exchange an anonymous code derived from your computer, as described in the privacy policy at https://slapisdead.com/privacy/.
We may change the activation process for future versions of the Software and we may stop issuing new activations at any time. Activations already made remain valid for the version of the Software for which they were made, as far as technically possible.
6. INTERNET CONNECTION AND PRIVACY
The Software connects to slapisdead.com and to license.slapisdead.com to download news and update information and to handle the trial and the activation. It does not collect your name, your email address or your usage data. The privacy policy at https://slapisdead.com/privacy/ applies.
7. UPDATES, SUPPORT AND CHANGES
We may update, change, suspend or discontinue the Software, any of its features, the website and any related service at any time, without notice and without liability. We have no obligation to provide updates, maintenance or support.
8. OWNERSHIP
The Software, its code, sound, presets, design and documentation, and the names "BSynth" and "Slap Is Dead", belong to us or to our licensors and are protected by copyright, trademark and other laws.
9. THIRD-PARTY COMPONENTS
The Software includes third-party components, which are licensed under their own terms, listed in the "Third-party notices" that come with the Software and at https://slapisdead.com/bsynth/license/. For those components, their terms prevail over this Agreement. Product and company names used with the Software are trademarks of their respective owners.
10. NO WARRANTY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE COMPATIBLE WITH YOUR COMPUTER, OPERATING SYSTEM, HOST APPLICATION, AUDIO INTERFACE OR OTHER EQUIPMENT, THAT IT WILL WORK WITHOUT INTERRUPTION, ERRORS, CRASHES, LATENCY OR AUDIO ARTIFACTS, THAT IT IS FREE OF VULNERABILITIES OR HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY, PERFORMANCE AND RESULTS OF THE SOFTWARE AND OF ITS USE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR CONTRIBUTORS OR OUR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROJECTS, RECORDINGS, PERFORMANCES, PROFITS, REVENUE, BUSINESS, OPPORTUNITIES OR GOODWILL, OR FOR ANY DAMAGE TO COMPUTERS, DEVICES, OPERATING SYSTEMS, SOFTWARE, AUDIO INTERFACES, AMPLIFIERS, SPEAKERS, HEADPHONES OR OTHER EQUIPMENT, OR FOR ANY HEARING DAMAGE OR OTHER INJURY, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, ITS INSTALLATION, UNINSTALLATION, USE OR INABILITY TO USE, OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT THAT OUR LIABILITY CANNOT BE EXCLUDED UNDER APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE AND THIS AGREEMENT SHALL NOT EXCEED TEN US DOLLARS (USD 10).
12. YOUR RESPONSIBILITY
You are solely responsible for how you use the Software and for everything you create, record, perform or publish with it, including compliance with applicable laws and with the rights of third parties.
Synthesizers and audio effects can produce sudden loud sounds, feedback and very low frequencies. You are responsible for keeping safe listening levels, for protecting your hearing, your equipment and the people around you, and for backing up your projects and data before installing, updating or using the Software.
13. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless us, our contributors and our licensors from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your use of the Software, the content you create with it, your breach of this Agreement or your violation of any law or of any right of a third party.
14. TERMINATION
This Agreement remains in effect until terminated. It terminates automatically, without notice, if you breach any of its terms. You may terminate it at any time by uninstalling the Software. Upon termination you must stop using the Software and delete all copies of it. Sections 3 (as to your music), 8, 9, 10, 11, 12, 13, 15 and 16 survive termination.
15. MANDATORY RIGHTS
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, or give consumers rights that cannot be waived by contract. Nothing in this Agreement excludes or limits any right or liability that cannot be excluded or limited under applicable law; in those jurisdictions the exclusions and limitations in this Agreement apply to the maximum extent permitted.
16. GENERAL
This Agreement is the entire agreement between you and us about the Software and supersedes any prior agreement or communication about it. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign this Agreement; we may assign it. We may publish new versions of this Agreement on slapisdead.com; a new version applies to the versions of the Software released with it and to any use after its publication, as permitted by law. This Agreement is written in English, and the English version prevails over any translation.
